Sole Trader or Limited Company?

Sole Trader or Limited Company?You’ve put together your business plan, obtained funding and come up with an eye-catching name – but there’s another important thing to do before you launch your new business.

It may not be as fun as ordering headed stationery and attracting a following on social media, but you need to decide what kind of set-up is best for your business.

Difference Between Sole Trader or Limited Company

You might already have heard the terms ‘sole trader’ and ‘limited company’, and there’s also a third option called a business partnership. Here we explain what each means, and why they could be the right choice for your new venture.

Sole trader

Sole traders are self-employed and run their own business as an individual. It’s often thought you must work alone to be a sole trader but this isn’t the case. You can employ staff, but you are solely responsible for the business.

As a sole trader you do not have to register with Companies’ House but you do have to register with HM Revenue & Customs (HMRC) and register for self assessment in order to complete your tax returns. Once you have paid tax on your profits, you are entitled to keep the remainder. You need to keep a record of all business sales and expenses and pay National Insurance contributions as well as income tax.

You can trade under either your own name or a business name, but the name cannot contain terms such as ‘limited’ or ‘ltd’ or imply they are linked to national or local government. You are legally responsible for the business and so should have appropriate insurance.

Limited company

There are benefits and disadvantages to operating as a limited company as opposed to a sole trader, so you should weigh up the options carefully. As a limited company, you must register with Companies’ House and appoint directors to run it. Registering online takes about 48 hours and costs £15, whereas a postal registration can take about 10 working days and costs £40. You can also use a same-day registration service but this can be expensive.

Once registered, you will be sent a Certificate of Incorporation to show that the company legally exists and has a company number. Limited companies must pay corporation tax on all profits and, depending on the nature of your business, this can be a better option than paying income tax. You will also have to decide whether to pay yourself a salary or dividends; both have their pros and cons but remember that paying yourself even a small salary can protect your entitlement to state benefits.

Whereas sole traders are personally responsible for any business debts, liability in a private company is limited to the shareholders, depending on the type of company it is.

Business partnership

Partnerships sit somewhere in the middle of the two options above. In principle, they are similar to a sole trader set-up, but they can have two or more partners. If you decide to be a limited partnership, all partners are liable for any debt. The other option is to become a limited liability partnership, which restricts each partner’s liability to what that partner has put into the business. If you chose this option, you will have to register with Companies House and put certain details on public record. If you run a business partnership you will also have to choose a nominated partner to manage the tax returns and keep business records, and all partners and the partnership must be individually registered with HMRC for self assessment.

What is VAT?

VAT, or Value Added Tax, is a tax on business transactions in the UK. Some transactions are exempt but most goods and services are subject to VAT. The standard rate is 20% of the cost of the goods or service, but there is also a reduced rate of 5% and a zero rate (0%). When VAT-registered businesses buy goods and services, they can usually claim back the VAT that they pay.

Who needs to register?

Businesses need to register for VAT if their annual turnover is £77,000 or above, or is about to go over this threshold. Businesses whose turnover is under £77,000 can still voluntarily register for VAT, so think about whether being VAT-registered could be good for your new business. How do I pay VAT?

You will need to fill in a VAT return regularly, usually once a quarter. If the amount of output tax (the sum you add to your sales price) is more than the amount of input tax (the amount you pay on goods and services bought), you will have to pay the difference. If the input tax is greater than the output tax, you can claim the difference back. how to find new customers for your businessSo you’ve finally set up your new small business, but how do you get customers? No business can survive without customers. In order to do so, take a minute to step back and think about what your new small business is going to offer.

Let’s say, for example that you have opened up a home cleaning service. Who are your target customers going to be? Will they be stay at home mums or career people who work long hours?  More importantly how are you going to reach your desired customers?

There are many ways to market your business but you will need to be careful as it is easy to spend a fortune on marketing without getting any return for you money. People are generally impatient and therefore whatever marketing ideas that you use, you will need to capture their attention immediately. When marketing a small business, try to put yourself in the customer’s shoes. What would you be looking for when choosing a person or service?

Generally speaking when starting a small business it is better to market your business using a form of promotion rather than advertising.

What Is The Difference Between Advertising and Promoting? I hear you ask.

Well basically, a promotion is an offer that is only available for a short period of time which offers a great incentive for a customer to take immediate action to buy quickly. To make it even more fun during particular times of the year e.g. Halloween you could offer a free glass of wine for the first 10 customers who come in fancy dress.

Another example would be if you started a window cleaning business. On your first visit you could offer to clean the upstairs windows for free when cleaning the downstairs windows. Provided that you satisfy the customers with sparkling clean windows, chances are that they will ask you to continue cleaning their windows as lots of people are looking for a good, reliable window cleaner.

There are endless ways that you can use promotions to attract customers to your new small business…all that you need is a bit of imagination.

How Do You Make Customers Aware Of Your Promotions?

There are several inexpensive ways to do this.

Firstly you could post leaflets in the neighbourhood or hand out leaflets to people passing by your business. You could also leave leaflets or business cards in doctor’s surgeries, dentists, hairdressers etc. Word and mouth is another great way to promote your business like when on the school run for example.

Another free and great way to promote your new business is using social media. Facebook and twitter in particular offer a great way of promoting local businesses for free. But first of all you will need to set up a business page on facebook and open up an account with twitter.

You will then need to build up followers and connect with them by offering interesting content to build up a trust with them, before trying to sell to them.  It is better to try to build up a list of followers that are closely linked to your type of business. For example if you own hairdressers in Bristol you would be better trying to build up a following with people living within that area. After all there is no point in promoting your hairdressing business to someone in America or vise versa.

The more adventurous among you could also promote your new business and offers via video marketing. This is not as complicated as it seems and can offer a very powerful way of marketing your new business. Again, when making your video try to offer some free advice at the beginning of the video in order to convince the potential customer that you are an expert at what you do. For example if you have a cleaning business try to offer some free cleaning tips in order for the viewer to connect with you and want to know more about your business.

There are also inexpensive forms of paid advertising  that can prove effective with small business marketing such as using mobile marketing and banner advertising. These can be great ways of making people aware of your promotions and enticing them to take immediate action to buy from you.

To conclude, it is important to remember that starting a small business is a learning curve. It often takes time to test and perfect what particular marketing works for your business. Therefore it is important to only spend a small amount on advertising until you have tried and tested the best marketing strategies that are working for you.

All in all there is no magical answer on how to get customers for your new small business other than to try and test all of the free and cheapest means of marketing to discover what works best for you. Just remember the more creative and unique your business marketing ideas are, then the more you will stand out from your competitors, hence increasing your chances for success.

People often ask me why I decided to start a small business which is a very good question especially when I had no previous business experience (I was a gas engineer at the time.) In fact everyone thought that I was mad… especially when I left my secure job and borrowed £250k to open up a chain of convenience stores! starting my first small business

It wasn’t easy at the beginning and I worked long hours and learnt from the mistakes that I made along the way. What I did have, however, was a driving ambition to change my life for the better. I knew that by continuing to work for someone else I was limited to what I could earn and that in turn dictated the lifestyle that I could lead… The car I drove, the house that I lived in and the holidays that I could take. Therefore in order for me to achieve my dreams, I needed to do something different …I needed to start my own business.

I am a quick learner and have a great work ethic and determination to succeed. Therefore within a short period of time my retail business was a roaring success, even winning many national awards including an all expenses paid trip to New York, sponsored by my all time hero Sir Richard Branson. At the same time I also started a successful catering business and built up a land and property portfolio along with a successful building company.

So is starting your own business the right path for everyone? In this current economical climate more and more people are thinking of starting a small business…Some from choice and others from desperation due to not having enough money, personal debt and being fed up  of waiting for things to improve. But wanting to start a business is not enough in itself. You will need to be focused and committed to sticking at it through thick and thin until you find the winning formula for success. So what is the winning formula for creating a successful small business?

1. Building Up A Good Reputation

Building up a good reputation is crucial in business. Whatever business you decide to start, chances are there will be a lot of competition; therefore you will need to stand out from the crowd. The Internet has made this task a lot easier due to social media sites that can help you build up and connect with your followers. If you get this part right you will be halfway there as you will have built up the all important trust with your future customers. However if you get it wrong then it can have disastrous results. Has Richard Branson really stolen ‘Northern Rock’ Bank from the Tax Payer?

Some people are up in arms claiming that Richard Branson has struck an unfair deal and bought Northern Rock Bank for approx £790 million pounds, half of what the tax payer bailed the bank out for using tax payers money. Let’s put this into prospective and see who really is going to benefit…..

Some years ago, I was presented with an award from Richard Branson for my entrepreneurial skills. Ever since having lunch with him I have been inspired by the way Richard Branson has developed his brand, his empire and the services he provides to the general public all over the world. Mr Branson has always come across as being someone who wants to give something back to the community for helping him become what he is. You only have to look at the many companies he owes and the unique services he offers.

During his campaign bid to run the National Lottery, he promised to give back far more than the current lottery organisers, but for some reason he lost his bid.  Some may think that Mr Branson loves the publicity and yes to a certain extent this comes with the job, but the reality is, he gives more back to the public than most entrepreneurs and far more than most Governments.

Whether Richard Branson has stolen Northern Rock or not is a matter for debate but he very often delivers his promises. Richard has made it clear from the outset that he wants to create a High Street Banking brand so that he can provide more competitive and fairer banking services to ordinary people rather than being ‘ripped off’. The banks have created a global disaster, so maybe it’s about time that someone with a sensible and ‘back to basics’ approach is able to provide Banking Services in a more democratic and sensible way.

The economy depends on Small businesses’ to keep the economy growing. There is no doubt about it that most Banks do not help small businesses enough. It would appear that they put most of them out of business when they choose rather than helping them through difficult times. Richard Branson has always promised that he will provide better and more appealing packages to Small Businesses and I’m convinced he will. No doubt the ‘big boys’ will try and make it difficult for him.

If Mr Branson delivers his promises then the return on his investment will not only reward his bank account, but also to that of the average tax payer. Everyone will have the opportunity to benefit in one way or another. I am convinced that Richard Branson will open up the competition in the Banking World for the general public and Small businesses all to benefit from. As usual he will create some more enemies through jealousy and FAIR COMPETITON.

Some people claim that true and inspiring business Entrepreneurs like the Richard Branson’s, Bill Gates and the Alan Sugars in this world should run our countries, well maybe there is some truth in this way of thinking. Either way my guess is that although Mr Branson may well have had a good deal buying Northern Rock, we will all benefit in one way or another in the long term.
